Club By-Laws

 

 

ARTICLE I - Name:

The name of this organization shall be MOHAVE DEFENSIVE SHOOTERS CLUB (MDSC), which will function as and adopt the Official Rules and Cub Affiliation of the International Defensive Pistol Association (IDPA). The Organization is not for profit and shall seek and maintain a Letter of Determination from the IRS as an Exempt Organization under Section 501(c)(4).

 

ARTICLE II -  Objectives of this Organization shall be:

a)      To encourage organized defensive shooting among citizens of the United States residing in our community with a view toward a better knowledge on the part of such citizens of the safe handling and proper care of firearms, as well as to improve their defensive shooting marksmanship and skills.

 

b)      To provide armed self-defense educational opportunities for men and women.  And to develop marksmanship and firearm education opportunities for youth in the community.

 

c)      To further the development of: honesty; good fellowship; self-­discipline; team play; and self-reliance.  These characteristics are the essentials of good sportsmanship and the foundation of true American patriotism.

 

d)     To maintain IDPA Club affiliation, as well as NRA Club affiliation programs.

 

ARTICLE III – Membership:

a)      Any citizen of the United States, who may legally own firearms or use them under the supervision of an adult, may become a member of this organization on vote by the Executive Committee. Thereafter making payment of the MDSC annual dues (prorated).

 

b)      Adult members are those who are 21 years of age or older.  Junior (minimum 17 years old) members may be MDSC members and participate in club activities under the supervision of an assigned adult member, preferably parental.

 

c)      To shoot and learn defensive shooting, a person of the public may participate with MDSC shooting activities without joining the Club, however, non-club members are not be allowed to shoot in stationed matches.  MDSC Members must also be and maintain IDPA membership.

 

ARTICLE IV – Dues:

a)      Annual MDSC Membership dues to the club shall be $12.00 per calendar year, and is due upon joining, dues prorated for the year, and by January 30th of each year.

 

b)      No member of the club that is 30 days in arrears shall be eligible to vote.

 

c)      Each MDSC Member should seek IDPA Membership (not required), NRA Membership is encouraged but not required.  

 

ARTICLE V – Meetings:

a)      Annual Meeting: The annual meeting of the club; shall be held on the first Saturday of February in each year at a time and place specified by the Executive Committee.

 

b)      Regular Meetings: The regular business meeting of the club for the transaction of ordinary business shall be held every other month, at such time and place as may be fixed by the Executive Committee. The regular meetings are for the Executive Committee members only.  Other Club members may attend if they choose, but will have no voice or vote in conducting normal club business.

 

c)      Special Meeting: A special meeting of the club may be held at any time upon the call of the President or upon the call of the Executive Committee, or upon demand in writing, stating the object of the proposed meeting, and signed by not less than 40% of the members entitled to vote.  Notice of the time, place and subject of any special meeting shall be given all officers and members in good standing in writing by United States mail not less than seven days prior to the date fixed for the holding of the meeting.  The Executive Committee shall set the location of such special meeting.

 

d)     Quorum: One-third of the members of the club entitled to vote shall constitute a quorum at the Annual Meeting and any Special Meeting called for. If a Quorum is not established, the Executive Committee members present shall be the sole voting members on any subject.

 

ARTICLE VI - Officers:

a)      The officers of the club shall be a President, Vice-President, Secretary, and Treasurer.  Who, acting together, shall constitute the Executive Committee.  The Chief Safety Officer will serve on the Executive Committee with voting privileges.  The Shooting & Match Director will also be a member of the Executive Committee with voting privileges.  A single Officer may hold two positions, such as President-Treasurer, etc.  The initial Officers of the MDSC as established by the founding members, and shall hold office until the 2012 Annual Meeting.  Thereafter, the Officers shall be elected by a majority vote by ballot of the members in good standing at the MDSC annual meeting.  They shall hold offices for two years or until their successors are elected.  All officers must be 21 years of age or older.

 

b)      Beginning in 2012, the Club Officers shall report to the Corporate formation made in 2009 and it’s CEO and other Incorporating Officers.  The Executive Committee shall include both current Club Officers and the Corporate Officers.  The Executive Committee shall be Chaired be the Club’s Corporate CEO as determined by the Articles of Incorporation.  Further, the Corporate Officers shall remain as stated and shall have permanent seats on the Clubs Executive Committee.

 

c)      The Executive Committee shall have general supervision and control of all of the activities of the club.  The Executive Committee may make agreements with other organizations and individuals to carry out objectives of the club.

 

d)     Meetings of the Executive Committee shall be held regularly (at least every other monthly) at such time and place as the Committee may determine.

 

e)      50% of the Executive Committee members shall constitute a quorum during Club business meetings.

 

f)       Resignation of any Officer may be accepted by a majority vote of the remaining members of the Executive Committee.

 

g)      A vacancy in the Executive Committee may be filled by a majority vote of the remaining members of the Committee.

 

ARTICLE VII - Officer Duties and Responsibilities:

a)      President; the President shall preside at all meetings of the Club and of the Executive Committee, and shall insure progress and overall management of the Club is in the best interest of the Club and its Members. The President shall be responsible for producing Club promotional material, newsletters, and acquire Club Sponsors with the aid of all other Executive Committee Members.  He/She shall be a member of all regular and special committees, and shall perform all such other duties that usually pertain to this office.

 

b)      Vice-President: The Vice-President shall perform the duties of the President in his absence or at his request and shall be responsible for the developing and maintain all props used in shooting scenarios. He/She shall ensure shooting and match shooting scores are properly acquired and recorded for Club records, awarding member shooting rank and for submittal to IDPA Offices.  He/She will also ensure that each Club member has completed the initial IDPA Qualifier Shoot and issues the initial members ranking.

 

c)      Secretary:  The Secretary shall conduct all official correspondence pertaining to the proper preparation and forwarding of all reports required of the International Defensive Pistol Association and by the National Rifle Association.  He/She shall notify the members of the Executive Committee of all meetings and shall notify the members of the annual meeting and any special meetings called for, as required in Article V.  He/She shall keep a true record of all meetings of the Executive Committee and of the club and have the custody of the books and papers of the club. All applications for membership in the club shall be made to the Secretary.  

 

d)     Treasurer: The Treasurer shall keep accurate account of all his transactions and render a detailed report with vouchers at any meeting of the Executive Committee when requested and an annual report to the organization at its Annual Meeting.  All Bank accounts shall require dual signature for check signing or any other withdrawal. Those able to co-sign draws shall only be the Treasurer, President, and/or Vice President. He shall be responsible for the collection of all fees and dues taking his proper receipt therefore.  He shall be responsible for re-affiliating the club annually with the International Defensive Pistol Association and the National Rifle Association and shall have charge of all funds of the Club and place the same in such bank or banks as may be approved by the Executive Committee. Such money shall only be withdrawn by check and for the payment of such bills as shall have been approved by the Executive Committee

 

e)      Chief Safety Officer: The Safety Officer shall have charge of all small arms instruction with authority to appoint additional Safety Officers need for shooting and match range safety.  He/She shall contract no bills without the authorization of the Executive Committee.

 

f)       Match Director: The Match Director is responsible for designing all shooting and match shooting scenarios and to ensure that the Club has the necessary props.  He/She shall ensure that match-shooting scores are properly acquired and recorded for Club records, awarding member shooting rankings and for submittal to the Vice President for reporting to IDPA Offices. The Match Director shall solicit for help in performing duties from any other Officer.

 

ARTICLE VIII - Suspension or Expulsion:

a)      Any officer may be removed from office by a two-thirds vote of the members in good standing, and present at any special meeting called for this purpose.  No vote for suspension or removal may be taken unless at least 30 days notice is received in writing.   This notice shall have been given to the officer of the reasons for his/her removal, and of the time and place of the special meeting at which such ballot on his/her removal is to be taken, at such special meeting the Officer shall be given a full hearing and allowed for defense prior to any vote taken.

 

b)      Any member may be suspended or expelled from the club for any cause (primarily for acting in an unsafe manner at shooting events) deemed sufficient by the Executive Committee by a two- thirds affirmative vote of the members of the Executive Committee present at any regular or special meeting.  No vote on suspension or expulsion may be taken unless at least fifteen days notice in writing has been given to the member of the charges and of the time and place of the meeting of the Executive Committee at which such charges will be considered. At such meeting, the member under charges will be receive a full hearing and allowed defense.  Immediate expulsion from a shooting event may be initiated by the Match Director or Safety Officer of any member, or non-member who is conducting unsafe acts while on the range, or who is intoxicated.

 

c)      Charges against any Officer or member may be referred by any member in good standing. Charges or complaints shall be in writing clearly stating the facts relied upon and accompanied by all affidavits or exhibits that are to be used in their support.  Such charges shall be filed with any Officer , who will immediately notify the President.  The President will call a meeting for the Executive Committee to hear the charges.  The Secretary will give at least fifteen days notice of the meeting to each member of the Executive Committee, to the accuser and to the accused, which notice shall be in writing and will include a true copy of the charges and of the supporting affidavits and exhibits.

 

d)     Any member suspended or expelled by the Executive Committee may appeal to the full membership of the club.  Such appeal shall be made in writing to the Secretary who will notify the President.  The President will call a special meeting of the club for the purpose of acting on the appeal. The Secretary shall give at least fifteen days notice in writing to all members of the club in good standing stating the date, time, place and reason for such special meeting.  At the meeting of the full club, the Secretary will read the original charges, the supporting affidavits, and will read or display the accompanying exhibits, and will read the minutes of the special meeting of the Executive Committee at which the charges were heard and action taken.  A full hearing will be given to the accuser and the accused.  A vote, will be taken by ballot of the members in good standing present and a two-thirds vote shall be required to reverse the action of the Executive Committee.

 

e)      The International Defensive Pistol Association shall be given a complete report whenever a member of this club is suspended or expelled, showing charges and action taken.

 

ARTICLE IX - Match Rules:

Competitions and shooting events will be held in keeping with the philosophies and rules of the International Defensive Pistol Association as outlined in the IDPA Official Rule Book.

 

ARTICLE X – Amendments:

Any proposed amendments to these bylaws may be introduced by any member of the club at any regular meeting or special meeting called for the purpose.  A discussion will take place at such meeting to either accept or reject the proposed Amendment.  During such meeting, a vote will be taken or the members accept or reject the proposed Amendment.  A two-thirds vote of the members present will be necessary to pass or reject it.  In the event that the Club has no members other than the Officers, the Executive Committee may amend the by-laws by a majority vote.
